Terms of Service

1. Agreement to Terms

By installing and using the ToroSachi Subscriptions application on your Shopify store, you agree to be bound by these Terms of Service. If you do not agree to these terms, please promptly uninstall the application.

2. Service Description

ToroSachi provides subscription management, billing cycle automation, customer portal widgets, dunning recovery workflows, and cohort analytics. Our services integrate directly with your Shopify store via authorized Shopify APIs.

3. Merchant Responsibilities

As a merchant utilizing ToroSachi Subscriptions, you agree to:

• Maintain clear subscription terms, cancellation policies, and recurring charge schedules transparently visible to your customers prior to checkout.
• Comply with all applicable consumer protection laws, card network regulations (Visa, Mastercard, Amex), and Shopify platform terms.
• Maintain valid payment credentials and accurate billing details for any selected application subscription tier.

4. Text Messaging Terms

Where a customer has opted in directly to ToroSachi, ToroSachi sends transactional SMS about subscriptions the customer manages through the Service (such as failed-payment notices and payment-method update links). Messages may name the store tied to an affected subscription, but ToroSachi is the sender of the messaging program. Consent is not a condition of purchase. Message frequency varies with account activity. Message and data rates may apply. Reply STOP to cancel at any time and HELP for help, or contact support@torosachi.com. Carriers are not liable for delayed or undelivered messages.

5. Subscription Billing & Fees

App subscription charges and usage fees are billed directly through Shopify App Billing (`appSubscriptionCreate`). Fees are non-refundable once processed by Shopify. You may cancel your subscription at any time by uninstalling the application or changing your plan tier in the ToroSachi merchant dashboard.

6. Service Availability & Uptime

We strive to maintain 99.9% uptime for all billing and customer portal APIs. Scheduled maintenance windows will be communicated in advance. We are not liable for outages caused by upstream platform disruptions (e.g., Shopify API downtime or card processor network outages).

7. Limitation of Liability

To the maximum extent permitted by law, ToroSachi shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenues resulting from the use or inability to use our services.
